HSBC has agreed to sell its entire 15.57% stake in Chinese insurer Ping An Insurance for approximately $9.39 billion (HK$9 per share) in cash to a Thai investor group that includes All Gain Trading Ltd., Bloom Fortune Group, Business Fortune Holdings and Easy Boom Developments. www.hsbc.com

Advertising.com, a unit of AOL Inc. (NYSE: AOL), has acquired Buysight Inc., a Sunnyvale, Calif.?based provider of retargeting and intent-based targeted advertising. Carl Icahn has given up his battle to acquire Oshkosh Truck (NYSE: OSK), after failing to collect at least 25% of the company. Icahn currently holds around a 9.5% stake in Oshkosh, which he had wanted to acquire for approximately $3 billion. www.oshkoshcorporation.com

Diageo PLC
(LSE: DGE) said that it would consider acquiring the 50% of Ketel One that it does not already own, were the vodka maker's Dutch founders to put it up for sale. Diageo paid $900 million in 2008 for acquire 50% of Ketel One, whose brands include Smirnoff. www.diageo.com

, a New York?based digital media buying platform, has acquired Tap Me, a Chicago?based mobile and video in-game ad platform. No financial terms were disclosed. MedMath has raised around $30 million in VC funding from Catalyst Investors, Safeguard Scientifics and Observatory Capital. Tap Me had raised more than $3 million from Hyde Park Venture Partners, I2A Fund, Western Technology Investment, Great Oaks Venture Capital, FireStarter Fund and Hyde Park Angels. www.mediamath.com

SEOMoz Inc., a Seattle-based provider of SEO software, has acquired GetListed, a Portland, Ore.-based provider of local search optimization solutions for small businesses. Digimarc Corp. (Nasdaq: DMRC) has acquired Attributor Corp., a Redwood City, Calif.-based provider of e-book content licensing technology and services. No financial terms were disclosed. Attributor had raised over $25 million in VC funding from Sigma Partners, Selby Venture Partners, Jafco Ventures, Turner Broadcasting, Amicus Capital, Draper Richards and First Round Capital. www.attributor.com
